EYSC Legal Counsel

職務内容/Job duties As a Legal Counsel in the EY Strategy & Consulting KK (“EYSC”) General Counsel’s Office (“GCO”), you will work with a talented team of in-house lawyers as we balance the business agility needs of a professional services firm experiencing phenomenal growth against the heightened scrutiny that major professional network firms face from diverse regulators and other stakeholders. EYSC is a member firm of EY network in Japan Region. You will liaise with diverse GCO colleagues in other EY member firms in Japan and beyond.

We are looking for a capable legal team member who can work collaboratively with business teams to navigate business growth as well as organizational transformation with high agility and client-centric mindset. Your day-to-day clients are EYSC client-serving members at all level as well as EYSC Core Business Support (CBS) colleagues.

This position reports to the head of EYSC GCO (tentatively COO). The GCO function itself was recently established in EYSC and is a still growing team. For this, the scope of responsibility will remain flexible based on business needs and individual capability.

We have two open positions – one focusing on Japanese law/language expertise, another focusing on English contracting practice.

【Responsibilities】
・Draft, review, and negotiate with speed a broad spectrum of commercial agreements, including professional services agreements, subcontracting agreements, NDAs, releases, RFP conditions, government procurement agreements, dispatch worker agreements, secondment agreements, vendor agreements, agreements related to M&A activity, data privacy or security agreements, antisocial forces and other compliance-related agreements, and various addenda and riders to each.

・Proactively document learnings to build legal advice repositories for future scalability to reduce attorney time spent on repetitive tasks.

・Draft and revise templates, including proactive advice on template creation or consolidation to further enhance simplicity and scalability.

・Advise stakeholders on labor/employment, compliance, and internal investigation issues.

・For Japan-qualified attorneys, provide subject matter expertise on Japanese law issues, including labor law, dispatch workers law, subcontractors law, companies law, civil code, and other relevant laws and case law.

・Develop subject matter expertise and facilitate knowledge-sharing team-wide.

・Advise management and cross-functional stakeholders of emerging legal trends and risks. Identify certain high risk topics, and help the client-serving teams develop risk mitigation strategies.

・Coordinate with members of EY GCO community including global and APAC area level to ensure consistency and calibration across EY network on key legal issues.

・Manage and coordinate with outside counsel to procure external expertise with cost efficiency and speed. 
応募資格/Qualifications 【Required skills】
・Be open to learning and embracing not only new areas of law but also EY network policies, guidelines, positions and practices in Japan and at global level.

・High ability to communicate verbally and in writing, effectively with various stakeholders both in Japanese and in English, in relation to both legal and commercial matters.

【Minimum qualifications】
・Qualified to practice law in Japan or another internationally recognized jurisdiction.

・Minimum 7 years of experience in legal practice, preferably in a combination of in-house and private practice. We are open to consider applications directly from private practice if the candidate has quasi-in-house experience such as secondment to clients.

【Preferred qualifications】
・Experience drafting and negotiating a large volume of agreements without or with minimal supervision.

・Experience providing legal advice related to regulatory issues.

・Experience in large, international and complex organizations.

・Subject matter expertise related to financial accounting rules, cross-border tax, and Japanese labor/employment issues, government procurement/relations, and/or intellectual property.
